Terms of Service

These terms explain what you can expect from Soopaly and what we expect from you. We have kept them as short and plain as we can.

1. The agreement

These terms are an agreement between you and SooGi Group, which runs Soopaly. By creating an account or using Soopaly, you accept them. If you use Soopaly for a business, you accept them for that business and confirm you are allowed to.

If a signed proposal or order form for your system says something different from these terms, the proposal or order form wins for that system.

3. What Soopaly does

Soopaly asks how your business runs, designs a system for it, shows you a working demo, recommends a price, and, once you accept a proposal, runs your system in a practice copy (the sandbox) and a live copy.

Demos, suggested answers (including AI suggestions) and price recommendations are drafts for you to review. They are not professional, legal, tax or financial advice. Check that your system fits your business before you rely on it.

Once your system is live, changes go through a change request: we build them in your sandbox first, and only your business's owner can approve them and make them live. If a change affects your price, you will see and approve the new price before it applies.

We work hard to keep Soopaly available and your data safe, but we cannot promise the service will never be interrupted or have errors. We may need short maintenance windows, and we will try to schedule them outside business hours.

We may improve and change Soopaly over time. We will not remove something your live system depends on without telling you first.

9. Our software

Soopaly, its software and its design belong to us. While your agreement is active, we give you a right to use Soopaly for your business. Your data stays yours, as section 4 says.

If you send us ideas or feedback, we may use them without owing you anything.

10. Warranties and liability

Apart from what these terms or your proposal promise, Soopaly is provided “as is”, without other warranties, to the extent the law allows.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.

11. Changes to these terms

We may update these terms. We will post the new version here with a new date and, for significant changes, email account holders at least 14 days before they take effect. If you keep using Soopaly after that, the new terms apply.
